Terms of Service

These Terms are a contract between you and Coshippr Inc., doing business as Potluck ("Potluck," "we," "us"), a Delaware corporation. They govern your use of the Potluck desktop application, the website at trypotluck.ai, and our account, membership, and network services (together, the "Service"). By using the Service you agree to these Terms. If you do not agree, do not use the Service.
Potluck is early software under active development. The Service is provided as-is and will change.
1. Eligibility
You must be at least 18 years old, or the age of majority where you live, and able to form a binding contract. If you use the Service for an organization, you represent that you are authorized to bind it.
2. Your account
You sign in with a passwordless email link. You are responsible for the email account you use and for activity under your account. Tell us promptly at hello@trypotluck.ai if you believe your account has been compromised.
3. The software and your license
The Potluck desktop application is licensed to you, not sold, under these Terms. Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the application for its intended purpose. You may not remove notices, or reverse-engineer, resell, or redistribute the Service except as its license or applicable law allows.
Your local data (your prompts, chats, memory, and files) is yours. You retain all rights to it. We claim only the limited, temporary rights needed to operate features you use (for example, transmitting a request you route to another machine so it can generate a reply).
4. Acceptable use
You agree not to:
- Use the Service for anything illegal, or to generate or distribute unlawful, harmful, or infringing content.
- Attack, disrupt, overload, probe, or attempt to gain unauthorized access to the network, other members' machines, or our systems.
- Misrepresent your identity, evade routing or reputation controls, or interfere with the fair operation of the network.
- Use the Service to build a competing service by scraping or bulk-extracting it, except as its open-source license permits.
We may suspend or terminate access for conduct that violates these Terms or endangers the network or other members.
5. Contributing compute
If you choose to contribute your machine's compute to the network, you do so voluntarily. You are responsible for your own hardware, electricity, connectivity, and for complying with your own agreements (for example, your ISP's terms). When you serve a request from the open pool, you agree to process it in good faith and not to log, retain, or misuse the content of others' requests. Contribution earns non-transferable credits as described below; it is not employment and creates no guarantee of earnings.
6. Membership and payments
Some features require a paid membership or dues. Prices, plans, and any founding-member terms are shown at the point of purchase. Payments are processed by Stripe under its terms; we do not store full card details.
Recurring charges renew automatically until you cancel. You can cancel at any time through the billing portal; cancellation stops future charges and takes effect at the end of the current period. Except where required by law, payments are non-refundable. We may change prices on a going-forward basis with reasonable notice.
7. Compute credits
The Service uses a non-monetary accounting credit ("credits") to meter contribution and consumption of compute on the network. Credits:
- are earned by contributing compute, or purchased as prepaid credit for compute;
- are redeemable only for compute on the network;
- are non-transferable and have no cash value; they cannot be bought, sold, traded, or exchanged for money;
- may expire or decay over time as described in the app or accompanying documentation.
Credits are not securities, investments, money, or a payment instrument, and buying credits is a prepayment for services, not an investment. We may adjust how credits are earned, priced, and redeemed to keep the network sustainable.
8. Forward-looking statements; no token offer
We may describe plans for future features, including a possible network governance token. Nothing in the Service or these Terms is an offer or solicitation to sell, or a promise to distribute, any token or security, and nothing here entitles you to any token. Any such plans are subject to change, to legal and regulatory review, and to conditions we have not finalized. Forward-looking statements are not commitments.
9. Third-party services
The Service integrates with third parties (such as Stripe, Resend, and a community forum). Your use of those is subject to their terms and policies. We are not responsible for third-party services.
10. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. In particular:
- Potluck runs AI models locally and across a network of member machines. We do not warrant that outputs are accurate, reliable, or fit for any purpose. Do not rely on outputs for professional, legal, medical, financial, or safety-critical decisions.
- Distributed inference across member machines is best-effort. Availability, speed, and results depend on the machines participating and may vary or be unavailable.
- We do not warrant that the Service will be uninterrupted, secure, or error-free.
11. Limitation of liability
To the maximum extent permitted by law, Potluck and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim, or one hundred US dollars ($100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
12. Indemnification
You agree to indemnify and hold Potluck harmless from claims and expenses arising out of your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. Sections that by their nature should survive termination (including credits limitations, disclaimers, liability limits, and indemnification) survive.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. You and Potluck agree to resolve disputes in the state or federal courts located in Delaware, and consent to their jurisdiction, except where applicable law gives you the right to bring a claim elsewhere.
15. Changes to these Terms
We may update these Terms as the Service changes. We will revise the "last updated" date and, for material changes, make a reasonable effort to notify members. Continued use after changes take effect means you accept them.
